Effective January 1, 2024, the Corporate Transparency Act (the “Act”) mandates that millions of both newly formed and existing business entities, including corporations, limited liability companies, limited partnerships, and any other entity created through the filing of a document with a Secretary of State or similar office, submit certain information about the entity and its beneficial owners to the U.S. Department of Treasury’s Financial Crimes Enforcement Network. The Act has wide applicability, and the penalties for non-compliance are harsh.
